AGREEMENT TO TERMS

These Terms of Use ("Terms of Use" or "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") , and Futuro Health ("Company", "we", "us", or "our"), concerning your access to and use of the https://www.futurohealth.org website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You may access and use the Site and Content (defined below) only if you agree to and comply with these Terms of Use. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM ACCESSING OR USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

In addition to our Privacy Policy (which is incorporated into these Terms by reference) supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

We also reserve the right to withdraw or amend all or any portion of this Site, and any service or Content we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to users, including registered users.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. USER REPRESENTATIONS

  • Copy, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.

  • Use the Site or Contents to compete with us or for any other type of revenue-generating endeavor or commercial enterprise.

USER GENERATED CONTRIBUTIONS

The Site may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions will be treated as non-confidential and non-proprietary, and may be viewable by other users of the Site and through third-party websites. Contributions you transmit must comply with our Contribution standards described below.

By submitting or providing any Contributions, you represent, warrant, and agree that:

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not (a) violate any applicable law, regulation, or legal requirement, and (b) violate, infringe or misappropriate the rights of any person or entity, including rights related to privacy, publicity, and intellectual property (including copyright, patent, trademark, trade secret, or moral rights).
  • You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Use.
  • Your Contributions do not contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
  • Your Contributions do not contain (or link to) any material that (a) is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory; (b) promotes sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; (c) is otherwise objectionable; (d) are false, inaccurate, or are likely to deceive any person; (e) promotes any illegal activity, or advocate, promote, or assist any unlawful act; (f) causes annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person; (g) impersonates any person, or misrepresent your identity or affiliation with any person or organization; (h) involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising; (i) gives the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Any use of the Site or Contents in violation of the foregoing violates these Terms of Use and may result in, among other things, termination or suspension of your rights to use the Site.

CONTRIBUTION LICENSE

By providing any Contribution on the Site, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns, the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material according to your account settings.

You are responsible for any Contributions you submit or contribute; and agree that you, not the Company, have full responsibility for such Contributions, including its legality, reliability, accuracy, and appropriateness. 7. CONTROLS FOR DO-NOT-TRACK FEATURES

8. DO CALIFORNIA RESIDENTS HAVE SPECIFIC PRIVACY RIGHTS?

In Short: Yes, if you are a resident of California, you are granted specific rights regarding access to your personal information.

GOVERNING LAW

These Terms of Use and your use of the Site are governed by and construed in accordance with the substantive laws of the State of California, without regard to its conflict of law principles. The Dispute Resolution provisions are governed by the Federal Arbitration Act.

DISPUTE RESOLUTION

This section on dispute resolution (the "Dispute Resolution Provisions") is part of your contract with the Company and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Terms of Use, the Site, or any services available through the Site that cannot be resolved informally shall be resolved by binding arbitration on an individual basis under the terms of these Dispute Resolution Provisions. These Dispute Resolution Provisions apply to any claims and disputes between you and the Company, and to any claims and disputes between you and any of our subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns.

Before either party may seek arbitration, the party must first send to the other party a written notice of dispute ("Dispute Notice") describing the nature and basis of the claim or dispute, and the requested relief. We may send a Dispute Notice to you at the address you provide to us when you fill out your user information.

After the Dispute Notice is received, you and the Company may attempt to resolve the claim or dispute informally. If you and the Company do not resolve the claim or dispute within thirty (30) days after the Dispute Notice is received, either party may begin an arbitration proceeding. All negotiations and settlement offers made by any party are confidential and inadmissible in any arbitration or other proceeding.

Arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration shall be conducted by a single, neutral arbitrator in Sacramento, California. The arbitrator shall apply Missouri law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. Except as otherwise provided herein, the parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If any part of these Dispute Resolution Provisions is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by the AAA, then the balance of these Dispute Resolution Provisions remain in effect and must be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were modified to be valid, enforceable and legal in a manner that most closely expresses its intent (or, if modification is not practicable, the these Dispute Resolution Provisions will be construed as if such provision were not contained herein). If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision is null and void, and neither you nor the Company is entitled to arbitrate their dispute.

THE ARBITRATION OF DISPUTES PURSUANT TO THIS SECTION MUST BE IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED.

BY AGREEING TO THE ARBITRATION OF DISPUTES AS SET FORTH HEREIN, YOU AGREE THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND LIMITING YOUR RIGHT TO APPEAL AND YOU UNDERSTAND THAT YOU ARE WAIVING YOUR RIGHTS TO MAINTAIN OTHER AVAILABLE RESOLUTION PROCESSES, SUCH AS A COURT ACTION.

Any action to enforce these Terms of Use regarding a claim not subject to binding arbitration must be brought in the federal court or the state courts located in Sacramento, California. By using the Site, you consent to the jurisdiction and venue of these courts. Except where prohibited by applicable law, you agree that (a) any and all disputes, claims and causes of action directly or indirectly arising out of or relating to the Site must be resolved individually, without resort to any form of class action; and (b) any claim or cause of action you may have with respect to the Site must be commenced within one (1) year after the claim or cause of action arises, regardless of any statute of limitations providing for a longer time period.

In any circumstances where the foregoing Dispute Resolution Provisions permit the parties to litigate in court, the parties hereby agree to submit to the personal jurisdiction of the courts located within the Sacramento, California, for such purpose, and waive any objection based on inconvenient forum or lack of jurisdiction.
